Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Truecast platform and website operated by Truecast Ltd. ("Truecast", "we", "us", or "our"). By creating an account or using the Service, you ("User" or "you") agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

Please read these Terms carefully before using the Service. If you do not agree to these Terms, do not use the Service.

1. The Service

Truecast provides a financial modelling platform that allows users to upload financial documents, generate deterministic financial forecasts, compare scenarios, and export model outputs ("the Service"). The Service is provided as software-as-a-service and accessed via truecast.org and any associated subdomains.

Truecast reserves the right to modify, expand, restrict, or discontinue any part of the Service at any time with reasonable notice to active users. We will provide at least 30 days' notice before discontinuing a feature that paid users depend on.

2. Accounts and access

You must create an account to access most features of the Service. You agree to provide accurate, current, and complete information when registering and to keep it updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not authorised by you. You must notify us immediately at hello@truecast.org if you become aware of any unauthorised access.

Accounts are personal and may not be shared with, transferred to, or used by any other person without our express written consent. Where an organisation purchases a plan, all authorised users under that plan remain subject to these Terms.

You must be at least 18 years old to create an account. By registering, you confirm you meet this requirement.

3. Acceptable use

You agree not to use the Service to:

  • Violate any applicable law or regulation, including data protection and financial services laws
  • Upload, process, or share data that you do not have the right to use
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any component of the Service
  • Use automated scripts, bots, scrapers, or crawlers against the Service without our written consent
  • Transmit malware, viruses, or any code designed to disrupt or damage the Service
  • Circumvent any rate limits, access controls, or usage restrictions
  • Resell, sublicense, or otherwise exploit the Service commercially without our written consent
  • Use the Service to produce outputs intended to deceive investors, lenders, or regulators

Truecast reserves the right to investigate suspected violations and to suspend or terminate accounts where a violation is confirmed or reasonably suspected. We may report suspected unlawful activity to appropriate authorities.

4. Your data and content

You retain all ownership rights to the financial data and documents you upload to the Service ("Your Content"). By uploading Your Content, you grant Truecast a limited, non-exclusive, worldwide licence to process, store, and use Your Content solely to provide the Service to you. We do not use Your Content to train AI models or share it with other users.

You represent and warrant that: (a) you own or have the right to upload all data you submit; (b) Your Content does not infringe the rights of any third party; and (c) Your Content complies with all applicable laws, including any obligations you have to the individuals whose data the financial statements may reference.

You are solely responsible for the accuracy and completeness of Your Content. Truecast does not verify, audit, or take responsibility for the accuracy of financial data you upload. Errors in your input data will produce errors in your model outputs.

Upon account termination or on your request, Truecast will delete Your Content in accordance with our Privacy Policy. Truecast is not responsible for maintaining backups of Your Content and strongly recommends you retain copies of all source documents and exports.

5. Forecasts and financial disclaimer

Truecast is a modelling tool, not a financial adviser. Nothing produced by the Service constitutes financial advice, investment advice, accounting advice, legal advice, or any other form of professional advice.

All forecasts, models, scenario outputs, and exports generated by the Service are estimates based on the data and assumptions you provide. They are provided for informational and planning purposes only. Past data or trends modelled in the Service are not indicative of future results.

You must not present model outputs as guarantees, projections certified by a professional, or in any way that would constitute a misleading financial statement under applicable law. Truecast accepts no liability for decisions made on the basis of model outputs. You are responsible for validating all outputs with qualified professional advisers before using them to make material financial, investment, or operational decisions.

6. Intellectual property

The Service, including all software, design, text, graphics, interfaces, trademarks, and other content created by or for Truecast, is owned by or licensed to Truecast Ltd. and is protected by intellectual property laws. Nothing in these Terms transfers any ownership interest in the Service to you.

Subject to your compliance with these Terms and payment of any applicable fees, Truecast grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own internal business or personal purposes.

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant Truecast an irrevocable, perpetual, worldwide, royalty-free licence to use, reproduce, and implement that Feedback in any way without obligation to you.

7. Payment and plans

Certain features of the Service are available only on paid plans. Current pricing is displayed on our pricing page. By subscribing to a paid plan, you authorise us or our payment processor to charge the applicable fee to your payment method on the billing cycle you select (monthly or annual).

All fees are stated exclusive of applicable taxes. Where we are required to collect sales tax, VAT, or similar taxes, these will be added to your invoice.

Refunds. Subscription fees are non-refundable except where required by law. If you cancel a paid plan, you will retain access until the end of the current billing period. We do not provide prorated refunds for partial periods.

Truecast reserves the right to change pricing with at least 30 days' notice to subscribers. Price changes will not apply until the start of your next billing period following the notice period.

If a payment fails and is not resolved within 7 days of notice, Truecast may downgrade your account to the free tier or suspend access until payment is resolved.

8. Suspension and termination

By you. You may close your account at any time via account settings or by contacting us at hello@truecast.org. Closure takes effect at the end of the current billing period for paid plans.

By Truecast. We may suspend or terminate your access to the Service immediately and without prior notice if:

  • You materially breach these Terms and fail to remedy the breach within 7 days of notice
  • We determine, acting reasonably, that your use poses a security or legal risk to the Service or other users
  • You engage in conduct that, in our reasonable assessment, violates applicable law
  • We are required to do so by law, court order, or a regulatory body

Where suspension is not due to your breach, we will provide reasonable notice and, for paid plans, a prorated refund of prepaid fees.

Upon termination, your licence to use the Service ends immediately. We will delete Your Content in accordance with the Privacy Policy. Sections 5, 6, 9, 10, 11, and 13 survive termination.

9. Warranties and disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Truecast does not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) any errors or defects will be corrected; (c) model outputs will be accurate, complete, or fit for any particular purpose; or (d) the Service will meet your specific requirements.

Nothing in this section limits any statutory rights you may have under applicable consumer protection laws that cannot be excluded by contract.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRUECAST AND ITS DIRECTORS, EMPLOYEES, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, business, or goodwill
  • Damages arising from your reliance on model outputs or forecasts
  • Damages arising from unauthorised access to your account not caused by Truecast's negligence
  • Any damage arising from third-party actions or services

IN ALL CASES, TRUECAST'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO TRUECAST IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED POUNDS STERLING (£100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Truecast and its directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or in any way related to: (a) your use of the Service in violation of these Terms; (b) Your Content; (c) your violation of any applicable law or regulation; or (d) your violation of any third-party rights.

Truecast reserves the right to assume exclusive defence and control of any matter subject to indemnification by you, at your expense. You agree to cooperate with Truecast's defence of any such claim.

12. Changes to these Terms or the Service

Truecast may update these Terms from time to time. We will notify you of material changes by email (to your registered address) and by posting a notice in the Service at least 14 days before the updated Terms take effect.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must close your account before the effective date.

Truecast may change, suspend, or discontinue features of the Service at any time. We will provide advance notice of feature removals that materially affect paid plans.

13. Governing law and disputes

These Terms and any dispute arising out of or in connection with them shall be governed by the laws of England and Wales, without regard to its conflict-of-law principles.

Before initiating any formal legal proceedings, you agree to first contact Truecast at hello@truecast.org and give us 30 days to attempt to resolve the dispute informally.

If the dispute cannot be resolved informally, both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer resident in the European Union, you may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

14. General

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Truecast with respect to the Service and supersede all prior agreements, representations, and understandings.

Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

No waiver. Truecast's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing to be effective.

Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. Truecast may assign these Terms, including to a successor in connection with a merger, acquisition, or sale of assets, without restriction. We will provide reasonable notice of any such assignment.

Force majeure. Truecast is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, internet outages, third-party service failures, or government actions.
